    AI-Powered Features

The Service uses artificial intelligence and machine learning technologies to process queries, analyze user-provided materials, and generate outputs.

AI-generated outputs may contain errors, omissions, hallucinations, formatting issues, incomplete analysis, or outdated information. You are solely responsible for independently verifying any output before relying on it or acting on it.

The Service is a research and reference tool for informational and educational use only. The Service does not provide legal advice, does not create an attorney-client relationship, and is not a substitute for a qualified attorney.

    No Reliance

You agree that You are not relying on the Service as a substitute for professional legal, financial, business, compliance, or other professional advice. Any decision You make based on the Service is made solely at Your own discretion and risk.

    Assumption of Risk

Your use of the Service is at Your own risk. You acknowledge that AI-generated outputs, uploaded document analysis, and legal comparisons may be inaccurate, incomplete, or inapplicable to Your situation.

    User Accounts

When You create an Account, You must provide information that is accurate, complete, and current at all times. Failure to do so may constitute a breach of these Terms and may result in suspension or termination of Your Account.

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your Account.

    License to Use Content

By submitting or uploading Content to the Service, You grant the Company a non-exclusive, worldwide, limited license to host, store, reproduce, transmit, process, display, and analyze that Content solely as necessary to operate, maintain, secure, improve, and provide the Service.

    User-Uploaded Documents

    • Attempts to interfere with, overload, scrape, probe, reverse engineer, or disrupt the Service or related systems

    Subscriptions and Billing

    Subscription Period

Some parts of the Service are available only with a paid Subscription. Subscriptions are billed in advance on a recurring and periodic basis. The exact amount and billing frequency for the plan You select are shown on the pricing page before You subscribe, and are restated in the confirmation email We send You after You subscribe.

    Automatic Renewal

Your Subscription continues automatically until You cancel it. At the end of each billing period it renews for a further period of the same length — one month for a monthly plan, twelve months for an annual plan — and the payment method You have on file is charged the then-current price for that plan.

    Minimum Purchase Obligation

There is no minimum term and no minimum purchase obligation beyond the billing period You are currently paying for. You may cancel at any time.

    How to Cancel

You can cancel online at any time using the Cancel subscription button in Your account profile. No phone call, email, or support request is required, and We will not ask You to complete any additional step in order to cancel. If You would prefer to cancel by email, You may write to support@hoalaw.ai.

Cancellation takes effect at the end of the billing period You have already paid for. You keep access until then, and You will not be charged again.

    Refunds

Except when required by law, paid Subscription fees are non-refundable and partial billing periods are not refunded. Any refund request may be considered by the Company on a case-by-case basis in the Company's sole discretion.

    Fee Changes

The Company may modify Subscription fees. If the recurring amount charged to You changes, We will notify You by email no less than 7 days and no more than 30 days before the new amount takes effect, and You may cancel before that date if You do not wish to continue at the new price.

    Renewal Reminders

For plans with a term of twelve months or more, We will email You between 30 and 45 days before each renewal to remind You that the Subscription will renew and how to cancel. For all ongoing Subscriptions, We will also send You a reminder once a year setting out the product, the amount and frequency of the charges, and how to cancel.

    Service Availability and Data

The Company does not guarantee that the Service will be uninterrupted, secure, error-free, or available at all times. Access may be suspended or limited for maintenance, updates, emergencies, abuse prevention, or reasons outside the Company's control.

You are responsible for maintaining Your own copies of any Content, uploaded documents, outputs, and records. While the Company may perform backups or retention measures, the Company does not guarantee against data loss, corruption, deletion, or failure to restore data.

    Service Modifications

The Company reserves the right to modify, suspend, discontinue, remove, or restrict any part of the Service, including features, functionality, integrations, pricing, content, or availability, at any time and without liability.

    Intellectual Property

The Service and its original content, features, functionality, design, branding, and software, excluding Content provided by You or other users, are and will remain the exclusive property of the Company and its licensors.

The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.

Our trademarks and trade dress may not be used without the prior written consent of the Company.

    Copyright Policy

    Intellectual Property Infringement

We respect the intellectual property rights of others. If You believe that material available through the Service infringes Your copyright, You may send a notice to our copyright contact at rethinkhoa+copyright@gmail.com.

    DMCA Notice

Your notice should include sufficient detail to identify the copyrighted work, the allegedly infringing material, the location of that material, and Your contact information, together with any statements required under applicable law.

Upon receipt of a compliant notice, the Company may remove or disable access to the challenged material in its sole discretion.

    Your Feedback to Us

If You provide Feedback, You grant the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and otherwise exploit that Feedback for any lawful purpose without compensation to You.

    Links to Other Websites

The Service may contain links to third-party websites or services that are not owned or controlled by the Company. The Company has no control over and assumes no responsibility for the content, policies, or practices of any third-party websites or services.

    Termination

We may suspend or terminate Your Account or access to the Service immediately, without prior notice or liability, for any reason, including if You breach these Terms.

Upon termination, Your right to use the Service will cease immediately.

    Indemnification

You agree to defend, indemnify, and hold harmless the Company, its Affiliates, licensors, service providers, officers, directors, employees, contractors, and agents from and against any claims, demands, actions, liabilities, damages, losses, judgments, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

    • Your use of or access to the Service
    • Your Content, including uploaded documents and any use of AI-generated outputs
    • Your violation of these Terms
    • Your violation of any law or the rights of any third party

    Limitation of Liability

To the maximum extent permitted by applicable law, the total aggregate liability of the Company and its Affiliates, licensors, service providers, officers, directors, employees, contractors, and agents for all claims arising out of or related to the Service or these Terms shall not exceed the greater of:

    • the total amount paid by You to the Company for the Service during the twelve (12) months immediately preceding the event giving rise to the claim; or
    • one hundred U.S. dollars (US $100).

To the maximum extent permitted by applicable law, in no event shall the Company or its Affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, business opportunities, or other intangible losses, even if advised of the possibility of such damages.

"AS IS" and "AS AVAILABLE" Disclaimer

The Service is provided "AS IS" and "AS AVAILABLE," with all faults and without warranties of any kind. To the maximum extent permitted by applicable law, the Company disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, the Company makes no representation or warranty that the Service will meet Your requirements, achieve any intended result, operate without interruption, be secure, be error-free, or that any information or output provided through the Service will be accurate, reliable, current, complete, or suitable for Your intended use.

    Force Majeure

The Company shall not be liable for any delay, interruption, failure in performance, or inability to provide the Service due to causes beyond its reasonable control, including natural disasters, power failures, internet outages, labor disputes, war, terrorism, civil unrest, governmental actions, pandemics, vendor failures, or failures of telecommunications or hosting infrastructure.

    Governing Law

These Terms and Your use of the Service shall be governed by the laws of the State of California, without regard to its conflict of laws principles.

    Dispute Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company at rethinkhoa+terms@gmail.com.

    Binding Arbitration

To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by final and binding arbitration in California, rather than in court, except that either party may bring an individual action in small claims court if eligible.

The arbitration shall be conducted on an individual basis by a neutral arbitrator. You waive any right to a jury trial, except where such waiver is prohibited by law.

    Class Action Waiver

To the maximum extent permitted by applicable law, You agree that any dispute shall be brought only in Your individual capacity and not as a plaintiff or class member in any purported class, consolidated, representative, collective, or private attorney general proceeding.

    United States Legal Compliance

You represent and warrant that You are not located in a country subject to a United States government embargo and are not listed on any United States government list of prohibited or restricted parties.

    Severability and Waiver

    Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be interpreted to accomplish its intended purpose to the greatest extent permitted by applicable law, and the remaining provisions will remain in full force and effect.

    Waiver

Except as provided in these Terms, the failure to exercise a right or require performance of an obligation under these Terms shall not affect a party's ability to exercise that right or require that performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any later breach.

Changes to These Terms of Service

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, We will make reasonable efforts to provide notice before the new terms take effect.

By continuing to access or use the Service after those revisions become effective, You agree to be bound by the revised Terms.
